DefinitionsAI Agent: personalized virtual assistant, configured by the client to perform specific tasks.Client: the professional legal entity subscribing to the services.Client data: all data (documents, texts, prompts) submitted by the client in the services.Workspace: isolated section of the service where the client's users collaborate.Input (Prompt) / Output: Instructions submitted to the AI (Input) and the content generated in return (Output).Skills: functionalities allowing AI agents to interact with software, business applications (e.g., CRM, ERP, databases) or external third-party services via APIs.User: any natural person authorized by the client to access their workspace.1. Description of servicesSwiftask provides a SaaS platform for creating and using AI Agents. The platform aggregates multiple AI models and allows the client to connect their own data sources and business tools via "Skills".2. Access and use of services2.1. License. Swiftask grants the client a non-exclusive and limited right of access to the Services for their internal professional needs.2.2. Restrictions. The client agrees not to: (i) resell the Service; (ii) reverse engineer; (iii) share credentials; (iv) use AI to generate illegal content, malware, or bypass security filters.2.3. AI Agents and Skills. The client is solely responsible for configuring "Skills" and providing the necessary credentials (API keys) to connect their own tools. Swiftask disclaims any responsibility for the availability or security of these third-party services. If an output generated by an AI agent results in data modification in a client's third-party business application via a Skill, the client assumes full responsibility.3. Intellectual Property3.1. Swiftask ownership. Swiftask retains all rights to the platform, its code, and its interface.3.2. Client Ownership. The client retains all rights to their Inputs. Subject to compliance with this agreement, the client owns the generated content (Outputs).4. Billing and payment4.1. Fees. Subscriptions are billed according to the rates in effect on our website: https://www.swiftask.ai/pricing. Prices are exclusive of taxes. 4.2. Payment. Payment is made in advance, via stripe or SEPA direct debit. The subscription renews automatically.4.3. Payment Default. Any delay may result in suspension of access to the services and the application of late payment penalties (3 times the legal interest rate).5. Warranties and limitations of liability5.1. AI Disclaimer. The client acknowledges that AI is probabilistic. Swiftask does not guarantee the accuracy of outputs ("hallucination" phenomenon). The client must verify outputs before use.5.2. Liability Cap. Except in cases of fraud or gross negligence, Swiftask's total liability arising from this agreement shall not exceed 100% of the total amount of fees paid by the client during the twelve (12) months preceding the event. Swiftask disclaims any liability for indirect damages (data loss, loss of revenue), including those originating from third-party services connected via "Skills".5.3. Shortened Limitation period. In accordance with Article 2254 of the french civil code, the parties agree that any legal action arising from this Agreement must be initiated within a maximum period of one (1) year from the event giving rise to the dispute, failing which it shall be time-barred.6. Personal DataThe processing of personal data is governed by our privacy policy and our data processing agreement (DPA). Specific conditions relating to AI are defined in our AI models annex.7. General ProvisionsThis Agreement is governed by French law. Any dispute shall fall under the exclusive jurisdiction of the commercial court of nantes.7.1. Commercial Reference. Unless explicitly refused by the client in writing, Swiftask is expressly authorized to cite the client's name and use their logo as a commercial reference on its website and communication materials. image:
